End-User License Agreement (EULA)

1. Agreement

This End-User License Agreement (“Agreement”) is a legally binding contract between you (“User”) and Health Network Continuum, LLC. (“HNC”, “we”, “us”, or “our”). It governs your access to and use of HNC’s software applications, including mobile apps, web-based platforms, and any related tools, features, or services provided through the App (collectively, the “App”). This Agreement outlines the rights and responsibilities of both parties and establishes the terms under which the App may be used.

By installing, accessing, or using the App, you acknowledge that you have read, understood, and agree to be bound by the terms of this Agreement. If you do not agree to these terms, you must not install, access, or use the App. Continued use of the App constitutes ongoing acceptance of this Agreement, including any updates or modifications that may be made in accordance with Section 7 below.

2. License Grant

Subject to your full compliance with this Agreement, HNC grants you a limited, revocable, non-exclusive, non-transferable, and non-sublicensable license to download, install, and use the App solely for your personal or professional use in connection with healthcare services provided by authorized healthcare providers. This license allows you to access the App’s features as intended and does not grant any rights to modify, distribute, or exploit the App beyond what is expressly permitted.

This license is provided solely for lawful purposes and is conditioned on your adherence to all applicable laws, regulations, and professional standards. Any use of the App outside the scope of this license is strictly prohibited and may result in immediate termination of your rights under this Agreement.

3. Restrictions

You agree that you will not engage in any activity that violates the integrity, security, or intended use of the App. Specifically, you agree that you will not:

  • Copy, modify, translate, adapt, or create derivative works of the App or any portion thereof, whether for personal use or distribution to others;
  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, underlying structure, algorithms, or ideas of the App, except to the limited extent expressly permitted by applicable law;
  • Rent, lease, loan, sell, sublicense, assign, distribute, publish, or otherwise transfer the App or any rights granted under this Agreement to any third party without prior written consent from HNC;
  • Use the App for any unlawful, fraudulent, harmful, or unauthorized purpose, including activities that may compromise patient privacy, violate healthcare regulations, or interfere with the operation of the App;
  • Remove, obscure, or alter any proprietary notices, trademarks, logos, or labels contained within the App or displayed in connection with its use.

Any attempt to circumvent technical protections, security features, or usage limitations built into the App is strictly prohibited and may result in legal action, termination of access, or both.

4. Ownership

The App is licensed to you, not sold. All rights, title, and interest in and to the App—including all software, code, interfaces, graphics, text, documentation, and other materials—are and will remain the exclusive property of HNC and its licensors. This includes all associated intellectual property rights, whether registered or unregistered, and all enhancements, updates, or modifications made to the App.

Nothing in this Agreement grants you ownership of the App or any rights other than the limited license expressly provided in Section 2. All rights not expressly granted to you are reserved by HNC. Unauthorized use of the App may violate intellectual property laws and result in civil or criminal penalties.

5. No Medical Advice

The App is designed as a technology platform that supports healthcare providers by facilitating communication, monitoring, and data management. It is not intended to replace professional medical judgment or serve as a substitute for in-person clinical evaluation. The App does not provide medical advice, diagnosis, treatment, or recommendations of any kind.

All clinical decisions, interpretations, and actions are the sole responsibility of licensed healthcare providers. Users should never rely on the App as a source of medical guidance. If you have questions about your health or treatment, you must consult a qualified healthcare professional. In case of a medical emergency, call your local emergency number immediately.

6. Privacy

Your use of the App is also governed by our Privacy Policy, which explains how personal information, including health-related data, may be collected, used, stored, and disclosed. By using the App, you acknowledge that you have reviewed and understand the Privacy Policy and consent to the data practices described therein.

Depending on your relationship with a healthcare provider, certain data may also be governed by additional agreements or legal requirements, such as HIPAA or other privacy regulations. You are responsible for ensuring that your use of the App complies with all applicable privacy obligations and that you safeguard your login credentials and personal information.

7. Updates

HNC may periodically release updates, upgrades, patches, or new versions of the App to improve functionality, enhance security, fix bugs, or introduce new features. These updates may be installed automatically or may require manual installation, depending on your device settings and platform requirements.

Unless a separate agreement accompanies an update, this Agreement will continue to apply to all updates and modifications. HNC reserves the right to modify or discontinue any part of the App at any time without prior notice, provided such changes do not materially reduce the core functionality of the App.

8. Termination

This Agreement remains in effect until terminated by either you or HNC. You may terminate this Agreement at any time by uninstalling the App and ceasing all use. HNC may terminate this Agreement immediately and without prior notice if you violate any of its terms, misuse the App, or engage in conduct that jeopardizes the security or integrity of the platform.

Upon termination, all rights granted to you under this Agreement will automatically cease, and you must delete all copies of the App from your devices. Termination does not limit HNC’s right to pursue any remedies available under law or equity for violations of this Agreement.

9. Disclaimer of Warranties

THE APP IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT ANY WARRANTIES OR REPRESENTATIONS OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, HNC DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY, AND NON-INFRINGEMENT.

HNC DOES NOT WARRANT THAT THE APP WILL OPERATE WITHOUT INTERRUPTION, BE ERROR-FREE, MEET YOUR REQUIREMENTS, OR BE FREE FROM SECURITY VULNERABILITIES. YOU ASSUME ALL RISKS ASSOCIATED WITH THE USE OF THE APP, INCLUDING RELIANCE ON ANY OUTPUT OR INFORMATION PROVIDED THROUGH THE PLATFORM.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HNC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE APP, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THIS INCLUDES, WITHOUT LIMITATION, DAMAGES FOR LOSS OF DATA, LOSS OF PROFITS, BUSINESS INTERRUPTION, OR UNAUTHORIZED ACCESS TO INFORMATION.

IN NO EVENT SHALL HNC’S TOTAL LIABILITY TO YOU EXCEED THE AMOUNT YOU PAID (IF ANY) FOR ACCESS TO THE APP. THESE LIMITATIONS APPLY TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW AND FORM AN ESSENTIAL BASIS OF THE BARGAIN BETWEEN YOU AND HNC.

11. Governing Law

This Agreement and any disputes arising from or relating to it shall be governed by and interpreted in accordance with the laws of the State of New York, without regard to its conflict of law principles. Any legal action or proceeding arising under this Agreement shall be brought exclusively in the state or federal courts located in New York, and you consent to the jurisdiction of such courts.
