(“HNC”, “we”, “us”, or “our”). HNC provides technology solutions that support TeleHealth, remote patient monitoring, care coordination, and related digital health functions. Our Services enable healthcare providers to securely collect, transmit, analyze, and manage patient health information, while offering patients tools to engage with their care teams and participate in remote monitoring programs.

The Services may include mobile applications, web portals, communication tools, data dashboards, device integrations, and other digital features designed to enhance the delivery of healthcare. HNC does not provide clinical services; instead, we supply the technology infrastructure that healthcare providers use to deliver care.

3. No Medical Advice

HNC does not provide medical advice, diagnosis, treatment, or clinical recommendations. The Services are intended solely to support communication and data exchange between patients and licensed healthcare providers. Any health-related information displayed within the Services is provided for informational and operational purposes only and should not be interpreted as medical guidance.

All clinical decisions, interpretations, and care recommendations are made exclusively by licensed healthcare professionals. If you have questions about your health or treatment plan, you must consult your provider directly. The Services are not a substitute for professional medical judgment.

4. User Responsibilities

  • Provide accurate information: You agree to provide truthful, complete, and up‑to‑date information when creating an account or using the Services. Inaccurate or incomplete information may affect the quality of care you receive or the functionality of the platform.
  • Maintain confidentiality of login credentials: You are responsible for safeguarding your username, password, and any other authentication details. You must notify HNC or your healthcare provider immediately if you suspect unauthorized access to your account.
  • Use the Services in compliance with applicable laws: You agree to use the Services only for lawful purposes and in accordance with all applicable federal, state, and local regulations, including those related to privacy, data protection, and healthcare.

Failure to meet these responsibilities may result in restricted access, account suspension, or termination.

5. Acceptable Use

Violations of acceptable use may result in immediate suspension or termination of access and may be reported to appropriate authorities.

6. Intellectual Property

To the fullest extent permitted by law, HNC disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, accuracy, and non‑infringement.

9. Limitation of Liability

To the maximum extent permitted by law, HNC shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages arising out of or related to your use of the Services. This includes damages for loss of data, loss of profits, business interruption, or unauthorized access to information.

HNC’s total liability for any claim arising from or related to the Services shall not exceed the amount you paid (if any) for access to the Services.

10. Indemnification

You agree to indemnify, defend, and hold harmless HNC and its officers, employees, contractors, and affiliates from any claims, damages, liabilities, losses, or expenses arising from your use of the Services, your violation of these Terms, or your infringement of any rights of a third party.

11. Termination

HNC may suspend or terminate your access to the Services at any time if you violate these Terms, misuse the platform, or engage in conduct that compromises the security or integrity of the Services. Termination may occur without prior notice.

Upon termination, your right to use the Services immediately ceases, and you must discontinue all access and delete any copies of materials obtained through the Services.

These Terms and any disputes arising from or relating to them shall be governed by the laws of the State of New York, without regard to its conflict of law principles. Any legal action must be brought in a court of competent jurisdiction located in New York.

Continued use of the Services after changes are posted constitutes your acceptance of the updated Terms.
